GOODCOM - What makes a good company?

Corporate Governance, Social Behaviour, Corporate Culture and Workers' Participation in MNC's

Globalisation puts each national system of industrial relations under pressure. The organisation of enterprise crossover links with an ongoing trend to finance companies from global capital markets require a huge extent of mechanism of monitoring business operations. Managers are asked to implement internally what they provide to the public. This concerns social treatment of their workers as well as ethical and sustainable behaviour of the company. Companies felt forced to report systematically on their „Corporate Social Responsibility“ or to explain their agreement to the principles of the UN-Global Compact, the OECD guidelines on multinationals and on corporate governance or to specific codes of conduct. At least companies may notice positive effects from participation on their economic performance.  

Description

Workers’ participation at European and local levels have to face the new developments as a new challenge. Such institutions are forced to develop a global understanding to influence management decisions on all levels.  Shareholder orientation of management does not mean automatically a threat to workers’ participation. Quite the contrary, there is no empirical evidence showing a poorer performance at the stock exchanges when there is existing institutional workers’ influence. Nevertheless, it is an open question, whether new legislative provisions in the European countries like the opportunity of workers’ representation in the boards of European companies or via EWC`s will compensate the lack of taking influence on national level. Can workers’ participation still influence decision-making at the top level of a company? To what extent is preservation of a company at its whole compatible with the goal to securing best return of investment? On the other hand, one can assume that it is convenient to management to avoid bigger social conflicts, e.g. when closing plants. The better way also for them is, like in the case of GM Europe, to sign an agreement with their EWC, together with the sectorial trade unions.
This kind of proceedings could cause tensions between trade unions and workes' representatives from company  level. Hence the project will investigate also how trade unions deal with EWC`s which are organized as multinational bodies of workers' representation.

This project aims to bunch the follwing different, but familiar activities:
-Link the debate within OECD/TUAC on revising their guidelines to the observation of implementing the action program of the EU-Commission (Bolkestein Action Plan from Mai 2003) on European Guidelines on Corp Governance and Company Law.
-Observing the behaviour of North-American MNC`s in Europe and vice versa, together with researchers from Cornell University and Hans Boeckler Foundation; have a specific look at EWC`s as a tool of management in Europe. What are the differences in US-firms?
-Adding a European dimension by accompanying (German) enterprises when they are going to implement specific measures to develop corporate cultures, promoted by their employees (cooperation within a project TIM: Transferring Innovative Corporate Ambiance, together with wmp-consult Hamburg and Hans Boeckler Foundation, funded by the German Ministry of Technology) .
